Ausnahme gewährt bei individueller Grenzwertüberschreitung eines Gruppenmitglieds ohne resultierenden Kontrollwechsel
Führen Übertragungen innerhalb einer (beherrschenden) Gruppe dazu, dass einzelne Aktionäre bzw. Untergruppen (einschliesslich solcher, die neu Teil der Gruppe werden) den Grenzwert überschreiten, so unterstehen sie der Angebotspflicht, obwohl die Gruppe selber ihr nicht unterliegt. Es kann ihnen in diesem Fall allerdings gestützt auf Art. 136 Abs. 1 lit. a FinfraG bzw. Art. 41 Abs. 2 lit. b FinfraV-FINMA eine Ausnahme gewährt werden, wenn dadurch für die Minderheitsaktionäre kein (nachteiliger) Kontrollwechsel bewirkt wird. Bei Änderungen in der Zusammensetzung einer Gruppe
Die Ausnahme von Art. 136 Abs. 1 lit. a FinfraG bzw. Art. 41 Abs. 2 lit. b FinfraV-FINMA kann auch dann greifen, wenn die Gruppe nicht in ihrer ursprünglichen Zusammensetzung fortbesteht, z.B. wenn ein ausscheidendes Mitglied einen Teil oder sämtliche bisher gehaltenen Aktien einem anderen Mitglied der Gruppe überträgt, ohne dass sich der Anteil der Gruppe insgesamt erhöht.

2.2 Groupe formé des requérants et des sociétés requérantes

[16] Il a été constaté ci-dessus (considérant 2.1) que les modifications intervenues entre les requérants n'avaient pas pour conséquence la création d'un nouveau groupe, de sorte que les requérants ne se trouvent pas dans l'obligation de présenter une offre publique d'acquisition aux actionnaires de Zwahlen et Mayr. En revanche, les acquisitions faites par Kobarid, Eurinox et Sitindustrie T & P leur ont à chacune permis de dépasser indirectement le seuil de 33 1/3% des droits de vote dans Zwahlen et Mayr. Elles ont en effet chacune acquis une participation de 100% dans une société qui détenait indirectement une participation majoritaire dans Zwahlen et Mayr. Formellement, elles sont donc soumises à l'obligation de présenter une offre publique d'acquisition au sens de l'art. 32, al. 1, LBVM.
[17] Etant donné que le dépassement du seuil est intervenu dans un groupe organisé, et que ce dépassement n'entraîne pas un changement de contrôle au détriment des actionnaires minoritaires, une dérogation au sens de l'art. 32, al. 2, let. a LBVM peut être accordée aux sociétés requérantes (recommandation du 3 décembre 2008 dans l'affaire Orascom Development Holding AG, consid. 5 et 6).
